  • Construction payment dispute adjudication under the Construction Industry Payment and Adjudication Act 2012 (CIPAA)
  • Infrastructure project legal advisory covering concession agreements, PPP structuring, land acquisition, EIA, OSHA, and CIDB compliance

4. Client Engagement

4.1 Commencement

A legal engagement commences only upon execution of a formal retainer letter or service agreement signed by an authorised representative of the Firm. Submission of an enquiry through this Website does not create an attorney-client relationship.

4.2 Conflict Checks

We conduct conflict-of-interest checks prior to accepting instructions. Where a conflict is identified, we will advise you accordingly. We reserve the right to decline instructions without obligation to provide reasons.

4.3 Client Due Diligence

As required under Malaysian law, including the Anti-Money Laundering, Anti-Terrorism Financing and Proceeds of Unlawful Activities Act 2001 (AMLA), we may request identification and source-of-funds documentation before proceeding with certain engagements.

5. User Responsibilities

7. Fees and Payments

7.1 Fee Basis

Our fees are stated in Malaysian Ringgit (RM). Fees for specific services are provided at the time of engagement and set out in the retainer letter. Indicative fees displayed on the Website are subject to the specific scope of each matter.

7.2 Payment Terms

Unless otherwise agreed in the retainer, invoices are payable within 14 days of issuance. We accept payment by bank transfer to the account details provided in the invoice.

7.3 Scope Variations

Where the scope of a matter changes materially after engagement has commenced, we will advise you in advance of any fee adjustment required. Work will not proceed on a materially expanded scope without your agreement.

7.4 Refunds

Fees paid for work already performed are not refundable. Where an engagement is terminated early, you will be billed for work completed up to the date of termination, and any unused portion of prepaid fees will be returned.

8. Service-Specific Terms

8.1 Construction Contract Advisory

Advisory services are limited to the documents provided. We do not conduct site inspections or verify factual representations made by third parties. Our advice addresses contractual and legal interpretation only.

8.2 CIPAA Adjudication Services

Our CIPAA service involves claim or response preparation and advisory support. Representation before an adjudicator is subject to separate fee arrangements. We cannot undertake that a particular adjudication outcome will be achieved.

8.3 Infrastructure Legal Advisory

Infrastructure matters are complex and multi-party. Our advisory scope is defined in the engagement agreement. We coordinate with other advisers on your behalf but do not take responsibility for the advice or conduct of other consultants.

9. Disclaimers

The Website and its Content are provided "as is" for general information. We make no representations as to the accuracy or completeness of any information on the Website.

Content on the Website does not constitute legal advice for any specific matter. Construction law in Malaysia is subject to change. You should obtain current advice appropriate to your circumstances.

10. Limitation of Liability

To the extent permitted by Malaysian law, the Firm's total liability in connection with any engagement or use of this Website shall not exceed the fees paid by you for the specific service to which the liability relates.

We are not liable for indirect, consequential, or special losses, including loss of profits or business opportunity, arising from use of this Website or from an engagement, except in cases of fraud or gross negligence.

11. Indemnification

You agree to indemnify and hold harmless Satria Firm and its partners and staff from any claims, losses, or expenses arising from your misuse of the Website, breach of these Terms, or inaccurate information provided to the Firm in connection with an engagement.

12. Termination

Either party may terminate an engagement by providing written notice. Termination does not affect obligations arising from work already completed. On termination, we will provide you with a copy of the matter file upon settlement of outstanding fees.

We reserve the right to withdraw your access to the Website, or to decline further instructions, where we have reasonable grounds to do so.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from these Terms or an engagement shall be subject to the exclusive jurisdiction of the courts of Malaysia.

We encourage any concerns to be raised directly with us in the first instance. Many matters can be addressed without recourse to formal proceedings.

14. General Provisions

  • Entire Agreement: These Terms, together with any retainer agreement, constitute the full agreement between you and the Firm regarding the subject matter.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect.
  • Waiver: Failure to enforce any provision does not constitute waiver of the right to enforce it in future.
  • Assignment: You may not assign your rights or obligations without our prior written consent.

15. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Continued use of the Website after any update constitutes acceptance of the revised Terms.
